Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Payrollix website and payroll services (the "Service") operated by Payrollix, Inc. ("us", "we", or "our").

1. Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2. Description of Service

Payrollix provides cloud-based payroll processing, tax calculation, tax filing, and related services for accounting professionals and their clients. Our services include but are not limited to:

• Payroll processing and direct deposit services
• Federal and state tax calculations
• IRS and state tax e-filing
• Employee and client self-service portals
• Reporting and compliance tools

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding the password and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

4. Subscription and Payment

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis (monthly or annually, depending on the plan you select).

A valid payment method is required to process the payment for your subscription. You shall provide Payrollix with accurate and complete billing information. By submitting such payment information, you automatically authorize Payrollix to charge all subscription fees incurred through your account.

5. Free Trial

Payrollix may offer a free trial for a limited period. You may be required to enter billing information to sign up for the free trial. If you do enter billing information, you will not be charged until the free trial has expired.

At any time and without notice, Payrollix reserves the right to modify the terms of the free trial or cancel such offer.

6. Cancellation

You can cancel your subscription at any time through your account settings. Upon cancellation, you will continue to have access to the Service until the end of your current billing period. No refunds will be provided for partial months or unused services.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as detailed in our Privacy Policy.

You retain all rights to your data. You are solely responsible for the accuracy, quality, and legality of the data you submit to the Service.

8. Compliance and Regulations

Payrollix is designed to help you comply with applicable payroll and tax regulations. However, you are ultimately responsible for ensuring compliance with all applicable laws, including but not limited to:

• Federal, state, and local tax laws
• Employment and labor laws
• Data protection and privacy regulations
• Financial reporting requirements

9. Limitation of Liability

In no event shall Payrollix, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

10. Indemnification

You agree to defend, indemnify, and hold harmless Payrollix and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to the Service.

11. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Payrollix and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service will be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration will be conducted in New York, New York.
